Romanian founders can use the slicing pie model

Standard slicing pie cofounder agreement templates for pre and after incorporation phase are now customised for Romania

Dynamic equity splits based on the slicing pie method are very popular with founders as an alternative to the traditional fixed equity splits. Why? Because they are transparent, fair and future proof. And to the techies between founders, they provide an understandable methodology. They also accommodate for the uncertain future, which is the main blind spot of the fixed splits.

Bucharest: thanks to the efforts of Alexandru Stanescu, Esq., MBA, LL.M, partner at SLV, who customised for Romanian founders the Cofounder Agreement template using the dynamic equity split. The dynamic equity split is based on Mike Moyer’s slicing pie method. This is great news for Romanian early stage founders, as it gives them the opportunity to use the ‘fairest equity split tool’ and avoid many potential issues that are caused by fixed equity split in too early stages.

As Alexandru Stanescu says: “Romania has seen an amazing expansion of entrepreneurship, especially in tech & tech-related products and services for traditional economic sectors. There are more and more funds flowing towards new ventures be it from EU money or private investors. The momentum is growing, and entrepreneurs are teaming up to build the businesses of tomorrow. Collaboration and resources put together at the right moment with clear rules of contribution and reward are key towards startup’ success. The dynamic equity split model helps entrepreneurs figure out who has skin in the game and the corresponding share in the business. Unfortunately, continental law is not fully prepared for such legal flexibility in relation to shareholders & shareholding structures. We have managed to use the best practices from Romanian corporate law and international benchmarks to create an innovative framework. This framework helps entrepreneurs who wish to “split the pie” principles within the realm of their Romanian company. We developed the model both at the pre-incorporation and post-incorporation stages, covering all main business scenarios. We hope our contribution can help Romanian innovative companies & entrepreneurs in their quest for success.”

The solution is based on the standardised templates developed by Jana Nevrlka, the founder of Cofounding, who coordinates the development of the slicing pie solution for European founders together with great help and support of Mike Moyer and other local slicing pie experts.

Mike Moyer, the US-based inventor of the Slicing Pie model, was pleased to hear the development “Slicing Pie is used by thousands of companies all over the world and most countries encourage fairness, but it is always nice to give founders that extra certainty that the model is aligned with the local rules and have local Slicing Pie expertise available.”
